Terms of Service

1. Agreement to Terms

By engaging the services of Modern Web Technologies LLC, you (the "Client") agree to be bound by these Terms of Service. These terms govern the provision of all website design and development services, including but not limited to website strategy, UI/UX design, front-end and back-end development, maintenance, and optimization.

2. Services

Modern Web Technologies LLC agrees to provide the website design and development services as described in the specific Service Agreement or Statement of Work executed between Modern Web Technologies LLC and the Client. The scope of services, deliverables, and timelines will be detailed in that document.

3. Client Obligations

The Client agrees to:

  • Provide Modern Web Technologies LLC with timely access to necessary resources, including website access, analytics data, brand assets, and other information required to perform the services.
  • Cooperate with Modern Web Technologies LLC by making decisions and providing feedback in a timely manner.
  • Ensure that all materials provided to Modern Web Technologies LLC are owned by the Client or that the Client has the legal right to use them.

4. Payment Terms

Payment for services will be made according to the schedule outlined in the Service Agreement. Invoices are due upon receipt unless otherwise specified. Failure to make timely payments may result in the suspension or termination of services. All fees are non-refundable once services have commenced.

5. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party. This includes business strategies, client lists, financial information, and project and website data. This obligation of confidentiality will survive the termination of the service agreement.

6. Intellectual Property

All pre-existing intellectual property of each party shall remain the property of that party. Any new materials, content, or website project assets created by Modern Web Technologies LLC specifically for the Client during the engagement ("Deliverables") will become the property of the Client upon full and final payment for the services. Modern Web Technologies LLC retains the right to use the Deliverables for its own promotional and portfolio purposes.

7. Limitation of Liability

While Modern Web Technologies LLC will use its best efforts to achieve the desired results, we do not guarantee specific outcomes, rankings, or return on investment (ROI). The web technology landscape is constantly changing, and results are subject to factors beyond our direct control. In no event shall Modern Web Technologies LLC be liable for any indirect, consequential, or special damages. The total liability of Modern Web Technologies LLC for any claim arising out of this agreement shall not exceed the total fees paid by the Client to Modern Web Technologies LLC in the preceding three (3) months.

8. Term and Termination

The term of the agreement will be specified in the Service Agreement. Either party may terminate the agreement with thirty (30) days' written notice. Upon termination, the Client is responsible for paying for all services rendered up to the effective date of termination.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Modern Web Technologies LLC is registered, without regard to its conflict of law provisions.
